深天馬（000050）12月15日公告表示，公司近日收到實(shí)際控制人中國(guó)航空技術(shù)深圳有限公司和中國(guó)航空技術(shù)廈門(mén)有限公司出具的有關(guān)在廈門(mén)成立TFT-LCD項(xiàng)目公司相關(guān)《承諾函》。上述兩公司表示，在完成項(xiàng)目公司注冊(cè)成立后，將協(xié)助和促成項(xiàng)目公司各股東同意，將該項(xiàng)目公司委托給深天馬進(jìn)行經(jīng)營(yíng)管理。
據(jù)介紹，中航技深圳公司、中航技廈門(mén)公司及廈門(mén)市金財(cái)投資有限公司擬共同出資在廈門(mén)成立項(xiàng)目公司，建設(shè)月加工玻璃基板3萬(wàn)張的第5.5代低溫多晶硅（LTPS）TFT-LCD及月生產(chǎn)彩色濾光片6萬(wàn)片的CF生產(chǎn)線，項(xiàng)目總投資約70億元，注冊(cè)資本28億元。其中，廈門(mén)金財(cái)出資17.92億元，占總股本的64%；中航技深圳公司出資8.4億元，占總股本的30%；中航技廈門(mén)公司出資1.68億元，占總股本的6%。
由于上述生產(chǎn)線制造的產(chǎn)品與深天馬目前主營(yíng)業(yè)務(wù)產(chǎn)品屬于同一行業(yè)，中航技深圳公司及中航技廈門(mén)公司對(duì)深天馬承諾，在完成項(xiàng)目公司注冊(cè)成立后將協(xié)助和促成項(xiàng)目公司各股東同意，將該項(xiàng)目公司委托給深天馬進(jìn)行經(jīng)營(yíng)管理，具體管理模式由項(xiàng)目公司各股東與深天馬商定，并由項(xiàng)目公司與深天馬簽訂相關(guān)托管協(xié)議。同時(shí)，待時(shí)機(jī)成熟，或深天馬有意收購(gòu)項(xiàng)目公司股權(quán)時(shí)，中航技深圳公司與中航技廈門(mén)公司將應(yīng)深天馬的要求，協(xié)助和促成項(xiàng)目公司各股東同意，將項(xiàng)目公司的股權(quán)轉(zhuǎn)讓予深天馬。(function(){document.domain=qq.com;var
